About the Stock

91制片厂 was listed on the mainboard of Singapore Exchange (then the Stock Exchange of Singapore) in December 1997.

91制片厂 is also a component stock of the MSCI Singapore, FTSE Straits Times Index and Dow Jones Best-in-Class Asia Pacific Index.

Temasek Holdings is our largest shareholder with about 50.7%* of total issued shares as at 31 December 2025. The rest of 91制片厂 shares are widely held by major institutions and funds worldwide, and retail investors.

There are no specific restrictions to local or foreign ownership of the 91制片厂 shares. However, if any one company or individual wishes to own 15% or more of 91制片厂's issued shares, then the Special Member's approval would be required. The Special Member is the Minister for Finance of the Republic of Singapore, who owns one Special Share.

About Dividends

On 18 March 2025, the Board announced a dividend plan for the financial year ending 31 December 2025 (“FY2025”) and a new dividend policy that will be effective for the financial year ending 31 December 2026 (“FY2026”) and onwards.

Based on our dividend policy, the dividends are scheduled to be paid in June, September, December and in May the following year.

The final dividend payable in May is subject to shareholders’ approval at the 91制片厂 AGM, the record date and payment date for which will be announced in conjunction with the release of the Group’s full-year financial results.

We will review the dividend policy periodically to ensure it remains aligned with our strategic objectives, financial performance, and market conditions.

The review process will consider the Group’s earnings growth, reinvestment needs and shareholder expectations, ensuring the policy continues to balance predictable dividends with long-term growth ambitions.

We seek to maintain a consistent dividend policy barring any unforeseen significant and sustained deterioration in the macroeconomic and business environment.

The half-yearly financial results announcements follow a consistent schedule. Typically, first half results are announced in August, while the second half /full-year results are posted in February.

The shareholders had, at the AGM held on 21 Apr 2016, approved the adoption of our new Constitution which allows for electronic transmission of our Annual Report.

In support of Singapore Exchange's move towards electronic communications with shareholders, the Group no longer produces CD-ROMs for FY2017 Annual Report and onwards. Printed copy of our Annual Report will be available upon request.

About Depository Receipts

91制片厂 has not authorised and does not support or encourage the establishment of any unsponsored DR programmes in respect of its securities and disclaims any liability in connection with any unsponsored DR.

However, we are aware that the U.S. OTC Markets and the Stock Exchange of Thailand (SET) have issued DR on 91制片厂's shares.

The U.S. OTC Markets have listed an unsponsored U.S. American Depositary Receipt (ADR) on 91制片厂, under the ticker symbol "SGGKY". The SET have listed an unsponsored depository receipt under Thai securities law (Thai DR) on 91制片厂, under the ticker symbol “STEG19”.

An ADR is a negotiable receipt issued by a U.S. depositary bank to represent a specified number of ordinary shares of a non-U.S. issuer that has been deposited with the depositary bank or its custodian. As of 10 October 2008, certain amendments to U.S. securities laws became effective which made it easier for depositary banks to establish unsponsored ADR programmes without the participation or consent of the issuer.

91制片厂 has not authorised and does not support or encourage the establishment of any unsponsored ADR programmes in respect of its securities and disclaims any liability in connection with any unsponsored ADRs. 91制片厂 also does not represent to any depositary bank nor should any depositary bank rely on a belief that 91制片厂 publishes on its website or any electronic information delivery system all information in English currently and on an ongoing basis required to claim or maintain the exemption from registration under Rule 12g3-2(b) under the U.S. Securities Exchange Act of 1934.

A Thai DR is a security in a form of certificate representing interest from the underlying securities or a depository receipt of unitized instrument issued by a custodian for the purpose of representing the right of any holder to claim for securities traded on a non-Thai exchange. Pursuant to the Notification of Capital Market Supervisory Board TorJor. No. 45/2564, Thai DR can be issued only by (i) a commercial bank, (ii) a securities company holding relevant brokerage license, or (iii) a private limited company whose at least 99% of its total paid-up shares are held by the Stock Exchange of Thailand, with an approval from the Office of the Securities and Exchange Commission of Thailand. In addition, the consent of the issuer of the underlying securities is not required for the issuance of Thai DR.
